Introduction
These Terms of Service ("Terms") constitute a binding legal agreement between you, the client, ("You," "Your," or "Client") and Prévoir Inc., ("Prévoir," "we," "us," or "our"). These Terms govern your access to and use of our AI-powered merchandising platform, our website (www.prevoir.ai), and all related services (collectively, the "Service").
By creating an account or using our Service, you affirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you have the authority to bind that organization to these Terms.
Our goal is to provide a powerful, intuitive tool to help you build more profitable and sustainable collections. These Terms are designed to ensure a clear, professional, and fair partnership.
1. The Service
Prévoir provides an AI-powered platform that analyzes Client-provided data to generate insights and recommendations for fashion merchandising. The Service is provided on a subscription basis and is accessed through our integration with the Shopify platform.
2. User Accounts
To access the Service, you must create an account. You agree to provide accurate, complete, and current information during the registration process. You are solely responsible for all activity that occurs under your account and for safeguarding your password. You must notify us immediately of any breach of security or unauthorized use of your account.
3. Client Content and License Grant
a. Your Content: To power our Service, we require access to certain data you provide, including but not limited to product images, sales data, and related business information ("Client Content").
b. License Grant: You retain all ownership rights in your Client Content. However, by using the Service, you grant Prévoir a worldwide, non-exclusive, royalty-free, sublicensable license to use, analyze, process, reproduce, and create derivative works from your Client Content for the sole and express purposes of: (i) providing, maintaining, and improving the Service for you; and (ii) training and enhancing our underlying AI models and algorithms on an aggregated and anonymized basis.
c. Your Representations: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to submit all Client Content and to grant us the license set forth in these Terms.
4. Intellectual Property Rights
The Service and its original content (excluding Client Content), including but not limited to the software, AI models, algorithms, user interface, features, functionality, and any aggregated, anonymized data generated by the Service, are and will remain the exclusive property of Prévoir and its licensors. The Service is protected by copyright, trademark, and other laws of Canada and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of Prévoir.
5. Subscriptions and Payment
The Service is billed on a subscription basis. Your subscription will automatically renew at the end of each billing cycle unless it is cancelled by you or by us. You may cancel your subscription renewal through your account settings. All fees are non-refundable, except where required by law.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRÉVOIR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
UNDER NO CIRCUMSTANCES WILL PRÉVOIR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO PRÉVOIR IN THE LAST TWELVE (12) MONTHS, OR, IF GREATER, ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRÉVOIR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PRÉVOIR DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
9. Modifications to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
